Terms of Service
Please read these Terms of Service ("Terms") carefully before using the services offered by Aspazy ("Aspazy", "we", "us", or "our"). By mutually executing an order form, completing an online checkout, creating an account, or otherwise accessing or using the Service, you ("Customer", "you", or "your") agree to these Terms. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.
These Terms, together with any order form, online order, statement of work, product-specific policy, and any document incorporated by reference, form the agreement between Customer and Aspazy (the "Agreement"). If the Agreement is considered an offer, acceptance is limited to the terms of the Agreement.
1. Order Forms; Access to the Service
Each order form or online order accepted by Aspazy is incorporated into this Agreement. Subject to Customer's compliance with the Agreement and any limits stated in the applicable order, Aspazy grants Customer a limited, nonexclusive, nontransferable, nonsublicensable right to access and use the Aspazy application, websites, APIs, documentation, automation workflows, AI-assisted drafting tools, and related services identified in the order (collectively, the "Service").
Customer may use the Service only for Customer's own business purposes and only as described in Aspazy's documentation and product interface. Aspazy connects customer-authorized sources such as GitHub repositories, product context, and help center platforms such as Intercom to generate, update, and manage customer-facing help center drafts and related workflow records.
2. Account Types
Aspazy may allow individuals and organizations to create accounts. "Customer" refers to the individual or entity using the Service. Customer is responsible for the accuracy of account information, workspace membership, user permissions, connected integrations, and all activity under Customer's account.
Customer must use commercially reasonable safeguards to protect login credentials, integration credentials, workspace invitations, and administrative access. Customer must promptly notify Aspazy of suspected unauthorized access.
3. Implementation
If an order form includes onboarding, migration, implementation, or consulting assistance, Aspazy will use commercially reasonable efforts to provide that assistance as described in the order. Any additional assistance outside the agreed scope may require a separate written agreement or additional fees.
4. Support; Service Levels
Aspazy provides support according to the plan, order form, or written support arrangement applicable to Customer. Unless an order form states a specific service level, support targets are not guaranteed response or resolution commitments.
Aspazy may use in-app notices, email, status updates, or direct communication to report incidents, maintenance, or material service issues. Custom service levels, dedicated support, or account management apply only where expressly included in an applicable order.
5. Service Updates
Aspazy may provide improvements, fixes, patches, model changes, integration updates, new features, or other modifications to the Service. These updates become part of the Service and are governed by this Agreement. Aspazy may change, suspend, or discontinue parts of the Service when needed for product, security, operational, legal, or business reasons.
Aspazy will use commercially reasonable efforts to give notice of major changes when practical, especially where a change materially affects existing customer workflows.
6. Ownership; Feedback
Aspazy and its licensors retain all rights, title, and interest in the Service, including software, designs, workflows, documentation, models, prompts, templates, infrastructure, product concepts, and related intellectual property. No rights are granted except as expressly stated in this Agreement.
Customer may provide suggestions, comments, ideas, or feedback about the Service ("Feedback"). Customer grants Aspazy a perpetual, worldwide, royalty-free license to use Feedback for any purpose without obligation to Customer.
7. Fees; Payment
Customer will pay the fees stated in the applicable order, online checkout, or Pricing page. Unless stated otherwise, fees are non-refundable except as required by law, billed in advance, and exclusive of taxes. Customer is responsible for taxes, duties, and similar charges other than taxes based on Aspazy's net income.
Subscription plans renew automatically unless cancelled before renewal. Customer authorizes Aspazy and its payment processors to charge the selected payment method for recurring fees, usage-based fees, add-ons, overages, taxes, and other amounts due. Plan changes, cancellations, renewals, and billing-cycle effects are handled as described in the product, pricing page, or applicable order.
If Customer exceeds usage limits, Aspazy may invoice or charge Customer for additional usage, require a plan change, limit the affected feature, or suspend excess usage until Customer updates the subscription.
8. Restrictions
Except as expressly allowed by this Agreement, Customer must not, and must not permit any third party to:
- reverse engineer, decompile, disassemble, or attempt to discover source code, underlying models, prompts, systems, or algorithms except to the extent applicable law prohibits this restriction;
- copy, rent, lease, sell, sublicense, distribute, assign, or transfer the Service;
- use the Service to build or train a competing product or service;
- remove or alter proprietary notices, security controls, access limits, or usage limits;
- interfere with, disrupt, overload, scan, or test the vulnerability of Aspazy systems without authorization;
- submit malicious code, prompt-injection payloads, exploit content, or data designed to attack connected systems, model providers, or Aspazy infrastructure;
- access or use the Service in violation of law, third-party rights, third-party terms, or the Acceptable Use Policy;
- use another customer's data, workspace, integration, account, or credentials without authorization.
9. Copyright Complaints
Aspazy respects intellectual property rights and expects customers to do the same. If you believe content hosted by or processed through the Service infringes your rights, contact [email protected] with enough information to identify the work, the allegedly infringing material, your contact details, and the basis for the claim.
Aspazy may remove or disable access to content, suspend affected workflows, forward notices to the relevant customer, or terminate repeat infringers where appropriate.
10. Confidential Information
Either party may disclose nonpublic business, technical, product, security, financial, customer, or other sensitive information to the other party ("Confidential Information"). Customer Data is Customer's Confidential Information. The Service, nonpublic product information, security details, roadmap information, and Aspazy business information are Aspazy's Confidential Information.
The receiving party will protect Confidential Information using reasonable care, use it only to perform or exercise rights under this Agreement, and disclose it only to personnel, contractors, advisors, service providers, or representatives who need access and are bound by confidentiality obligations. Confidential Information does not include information that is public through no fault of the receiving party, already known without restriction, independently developed without use of the Confidential Information, or lawfully received from a third party.
A party may disclose Confidential Information when required by law, court order, or government authority, provided it gives notice where legally permitted and uses reasonable efforts to limit disclosure. Confidentiality obligations survive termination for five years, and trade secrets remain protected for as long as they qualify as trade secrets under applicable law.
11. Customer Data
"Customer Data" means data, content, code, repository metadata, pull requests, issues, product context, support context, help center content, generated drafts, integration metadata, credentials, prompts, files, and other materials Customer provides to, connects to, or generates through the Service. Customer retains all rights in Customer Data.
Customer grants Aspazy the rights needed to access, process, transmit, store, display, generate, modify, and otherwise use Customer Data solely to provide, secure, support, troubleshoot, and improve the Service; comply with law; enforce this Agreement; and create aggregated or de-identified data that does not identify Customer or any person.
Customer is responsible for the accuracy, quality, legality, permissions, and rights in Customer Data and for reviewing generated drafts before publishing them to a help center or any other customer-facing system. AI-generated content may be incomplete, inaccurate, outdated, or unsuitable for Customer's intended use.
Where Aspazy processes Customer Personal Data on Customer's behalf, the Data Processing Agreement applies. Aspazy will not sell Customer Personal Data. The Privacy Policy explains how Aspazy handles personal information for the website and application.
12. Use of Customer Data with Artificial Intelligence Models
Aspazy will not use Customer Data to train, fine-tune, improve, or develop large language models, generative AI models, machine learning models, or other artificial intelligence systems controlled by Aspazy.
Aspazy uses AI model providers to process Customer Data for configured runs, such as analyzing code changes, reading connected help center content, drafting article updates, and preparing writeback actions. Aspazy will configure model-provider processing so Customer Data is used to provide the Service and not to train general provider models, except where Customer separately directs processing through Customer's own provider account or agrees to different provider terms.
When Customer provides its own AI provider keys, Customer authorizes Aspazy to store those keys in approved secret storage and use them only for Customer-configured runs, subject to Customer's provider account, provider terms, and the product controls Customer enables.
13. Vendor Integrations
The Service may integrate with platforms, APIs, products, or services operated by third parties, including GitHub, Intercom, AI model providers, authentication providers, analytics providers, billing providers, and other product-context or help-center systems ("Vendor Integrations"). Customer authorizes Aspazy to access and use Vendor Integrations as configured by Customer.
Customer is responsible for obtaining and maintaining all rights, licenses, permissions, and consents needed for Vendor Integrations, Customer Data, and connected accounts. Customer's use of Vendor Integrations is governed by the applicable third party's terms, not by Aspazy. Aspazy does not control and is not responsible for Vendor Integrations.
If Customer removes permissions, disables an integration, changes provider terms, exceeds provider limits, or loses access to a Vendor Integration, parts of the Service may stop working or become unavailable.
14. Third Party Terms
The Service may include or rely on third-party software, APIs, cloud services, model providers, open-source components, data processors, and infrastructure providers. Customer agrees to comply with applicable third-party terms that govern Customer's use of those services through Aspazy.
Aspazy may update subprocessors, vendors, and third-party dependencies as needed to operate the Service. Security, data processing, and subprocessor details are described in the Security Center where applicable.
15. Term; Termination
This Agreement begins when Customer first accepts it, creates an account, starts using the Service, or enters into an order, and continues until terminated or until all orders expire. Subscription terms renew as described in the applicable order, checkout, or product billing flow.
Either party may terminate an order or this Agreement for material breach if the breach is not cured within thirty days after written notice. Aspazy may suspend or limit access immediately if Customer's use creates security risk, legal risk, service degradation, third-party risk, payment delinquency, or a violation of this Agreement.
Customer may stop using the Service or cancel a subscription through available account settings or by contacting Aspazy. After termination, Customer's access to the Service may end, and Aspazy may delete Customer Data according to the Data Retention Policy, applicable law, backup practices, and any order-specific obligations.
Sections that by their nature should survive termination will survive, including payment obligations, ownership, confidentiality, customer data rights needed for wind-down, restrictions, warranty disclaimers, indemnity, limitations of liability, and miscellaneous provisions.
16. Indemnification
Customer will defend, indemnify, and hold harmless Aspazy, its affiliates, personnel, contractors, suppliers, and representatives from third-party claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from Customer Data, Customer's use of the Service, Customer's Vendor Integrations, Customer's breach of this Agreement, or Customer's violation of law or third-party rights.
Aspazy will defend Customer against a third-party claim alleging that the Service, as provided by Aspazy and used as permitted by this Agreement, infringes that third party's intellectual property rights, and will pay damages finally awarded or settlement amounts approved by Aspazy. Aspazy has no obligation for claims arising from Customer Data, Customer instructions, modifications not made by Aspazy, combination with items not provided by Aspazy, unauthorized use, continued allegedly infringing activity after notice, or free/trial use.
The indemnified party must promptly notify the indemnifying party of the claim, allow the indemnifying party to control the defense and settlement, and provide reasonable assistance. A delay in notice relieves obligations only to the extent the indemnifying party is materially prejudiced.
17. Free/Trial Use
Aspazy may offer free, beta, trial, evaluation, preview, or early-access features ("Free Offerings"). Free Offerings are provided for evaluation or limited use, may change or end at any time, may have reduced functionality, may not be covered by support or service levels, and are provided "as is" without warranty.
Customer should not rely on Free Offerings for production workloads unless Aspazy expressly agrees otherwise in writing.
18. Disclaimer
Except as expressly stated in this Agreement, the Service is provided "as is" and "as available." To the maximum extent permitted by law, Aspazy disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, and any warranty arising from course of dealing or usage of trade.
Aspazy does not warrant that AI-generated content will be accurate, complete, lawful, publish-ready, or suitable for Customer's business. Customer is responsible for human review, approval, and publication decisions.
19. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for lost profits, lost revenue, lost data, business interruption, cost of substitute services, or indirect, incidental, special, consequential, exemplary, or punitive damages, even if the party has been advised of the possibility of those damages.
Except for payment obligations, confidentiality breaches, indemnification obligations, and Customer's violation of the restrictions section, each party's total liability under this Agreement will not exceed the fees paid or payable by Customer to Aspazy for the Service in the twelve months before the event giving rise to the claim.
20. Miscellaneous
This Agreement is the entire agreement between Customer and Aspazy regarding the Service and supersedes prior or contemporaneous agreements on that subject. If an order conflicts with these Terms, the order controls for that order only. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the rest of the Agreement will remain in effect.
Neither party may assign this Agreement without the other party's consent, except to an affiliate or successor in connection with a merger, reorganization, sale of assets, or change of control. Aspazy may use subcontractors and service providers to perform the Service.
Aspazy may identify Customer as an Aspazy customer using Customer's name and logo in customer lists, websites, and marketing materials, unless Customer opts out by emailing [email protected].
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including failures of cloud providers, model providers, integration providers, internet service providers, payment networks, labor disruptions, natural disasters, war, terrorism, government action, or widespread outages.
Unless an order states otherwise, the governing law and forum are the laws and courts identified in that order. If an order does not identify them, applicable European law and the competent courts for Aspazy's registered business location apply, excluding conflict-of-law rules.
Aspazy may update these Terms from time to time. Material changes will be posted on this page or communicated by email or in-app notice when practical. Continued use of the Service after changes take effect confirms acceptance of the updated Terms.
21. Support and Availability Policy
Summary
This Support and Availability Policy applies only to customers with a paid plan or order that includes support. Aspazy will use commercially reasonable efforts to keep the Service available, respond to support requests, and remediate incidents based on severity and customer impact.
Availability
Unless an order includes a specific availability commitment, Aspazy does not provide a numeric uptime guarantee or service credit. Availability measurements, downtime credits, maintenance windows, and exclusions apply only if expressly stated in an applicable order.
Availability excludes scheduled maintenance, beta or trial features, Customer systems, Customer misuse, Vendor Integrations, model providers, cloud provider outages, internet failures, force majeure events, and issues outside Aspazy's reasonable control.
Support
Support covers defects with the Service. Product guidance, custom configuration, migration work, legal review, content strategy, custom development, and help with third-party systems are outside standard support unless separately agreed.
For customers with enterprise support or a custom support arrangement, Aspazy will use commercially reasonable efforts to prioritize issues as follows:
- P0 - Critical: complete production service outage, confirmed security incident, or issue preventing all configured runs.
- P1 - High: major product functionality is blocked with no reasonable workaround.
- P2 - Medium: partial degradation, failed workflow, or product issue with a workaround.
- P3 - Low: minor defect, cosmetic issue, product question, or general request.
Resolution times are targets only unless an order states otherwise. Aspazy may provide incident updates for critical issues and may request logs, reproduction steps, workspace details, or integration diagnostics from Customer to investigate.
